Terms of Service

These Terms of Service (the Terms) are an agreement between you and Strategic Implementation Advising, LLC, doing business as Project Cafecito (Cafecito, we, us, or our). They govern your access to and use of Cafecito websites, applications, APIs, MCP services, developer tools, documentation, and publications, including Beans and Espresso (collectively, the Services).

These Terms incorporate the Acceptable Use Policy, Privacy Policy, and Third-Party Content Policy. A separately signed agreement controls only for the subject it expressly covers.

1. Acceptance and eligibility

By accessing or using a Service, creating an account, or obtaining or using an API key, you agree to these Terms. If you act for an organization, you represent that you have authority to bind it. You must be at least 18 years old and legally able to enter a contract.

2. Current free-tier availability

All Cafecito products are currently available as free tier. When paid services are introduced, applicable pricing, billing, renewal, cancellation, refund, tax, and additional contract terms will be presented before purchase.

Current access does not create a promise that a free tier, feature, limit, source, publication, or output will remain available. No paid subscription, service-level agreement, enterprise commitment, or commercial content license is created unless Cafecito expressly offers and agrees to it in writing.

3. Accounts and API credentials

You must provide accurate account information and keep it current. API keys, tokens, and other credentials are confidential to your account. You may not sell, transfer, publish, or share them except with authorized personnel acting for you. You are responsible for activity performed with your credentials and must promptly report suspected compromise.

We may impose and change documented technical limits, including rate, quota, concurrency, and output limits. You may not evade those limits or use multiple accounts or credentials to do so.

4. Permission to use the Services

Subject to these Terms, Cafecito grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for lawful internal business or personal purposes. You may build applications that call the APIs, subject to documented limits, these Terms, and content-specific restrictions.

This permission does not transfer ownership of the Services, Cafecito software, documentation, API data, or third-party material. Open-source software remains governed by the license included with that software. A software license does not license API data or third-party content.

5. Third-party content and generated output

The Services may provide third-party source material, factual source metadata, source links, titles, bylines, publication dates, summaries, excerpts, or available content (Third-Party Content). Cafecito may also provide classifications, categories, entities, sentiment, scores, summaries, relationships, Events, Signals, and other generated or derived output.

Third-Party Content remains owned by its applicable author, publisher, licensor, or other rights holder. Public availability, source attribution, or delivery through a Cafecito Service does not grant you ownership or an unrestricted license.

Unless Cafecito documentation or a written agreement expressly grants broader rights, you may use Third-Party Content only as reasonably necessary for internal evaluation, search, analysis, and use of the Services. You must preserve available source links and attribution, respect applicable restrictions, and obtain any permission required for public display, redistribution, resale, sublicensing, bulk archiving, dataset creation, permanent RAG storage, model training, or other downstream use.

Generated output may be incomplete, inaccurate, delayed, stale, or misleading. It is informational, may reflect automated analysis, and is not a statement by or endorsement from a referenced source.

6. Your applications, users, and inputs

You are responsible for your applications, your users, and downstream use of Service output. You must provide legally required notices, obtain required permissions or consents, maintain appropriate security, and ensure that your terms do not grant rights broader than you have received.

You retain your rights in prompts, queries, filters, URLs, and other material you submit (Inputs). You grant Cafecito a limited, non-exclusive license to process Inputs as reasonably necessary to operate, secure, support, and improve the Services and comply with law. You represent that you have the authority needed to submit Inputs and request the intended processing.

7. Acceptable use

You must comply with the Acceptable Use Policy. You may not use the Services to violate law or intellectual-property, privacy, publicity, contractual, or other rights; obtain non-public material without authorization; remove attribution; conduct harmful profiling; distribute fabricated quotations; or interfere with Service security or availability.

8. Accuracy and professional decisions

The Services aggregate and transform information from many public-information and publicly available sources/outlets. Content and generated output may contain errors or omit relevant context. Verify important information with the original source and qualified professionals.

The Services do not provide legal, medical, financial, investment, tax, safety, or other professional advice. Do not use Service output as the sole or determinative basis for consequential or high-impact decisions about a person.

9. Availability and changes

We may add, modify, limit, suspend, or discontinue Services, features, sources, publications, or free-tier access. Preview, experimental, or beta features may change without notice and may be less reliable. We do not guarantee continuous operation, complete coverage, a particular update frequency, or continued availability of any source, record, field, or output.

10. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access when reasonably necessary to address a violation of these Terms, legal or security risk, misuse, excessive operational risk, a rights-holder restriction, or discontinuation of a Service. Where practical, we will provide notice and an opportunity to cure.

On termination, your right to use the Services ends. Provisions concerning ownership, Third-Party Content, disclaimers, liability, indemnity, disputes, and other provisions that by their nature should survive will remain effective.

11. Cafecito intellectual property and feedback

Cafecito and its licensors own the Services and Cafecito-created software, documentation, designs, trademarks, and other materials, excluding Third-Party Content and your Inputs. Except for the limited permission in these Terms or an applicable open-source license, no rights are granted by implication.

If you provide feedback, you grant Cafecito a perpetual, worldwide, irrevocable, royalty-free right to use it without restriction or compensation, provided we do not identify you publicly without permission.

Use the Copyright Policy for copyright complaints, the Publisher Requests process for source restrictions and licensing discussions, and the Corrections Policy for factual or attribution concerns.

We may restrict or remove material, disable access, update generated output, preserve relevant records, or suspend accounts when appropriate.

13. Privacy

The Privacy Policy explains how Cafecito handles personal information. You remain responsible for determining whether your downstream use complies with applicable privacy and data-protection laws.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CAFECITO DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND QUIET ENJOYMENT.

CAFECITO DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, COMPLETE OR CURRENT COVERAGE, OR THAT ANY OUTPUT IS LAWFUL OR SUITABLE FOR YOUR INTENDED DOWNSTREAM USE.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAFECITO AND ITS AFFILIATES, LICENSORS, AND PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAFECITO’S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED US$100.

These limitations do not apply where prohibited by law.

16. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Cafecito and its affiliates and personnel from third-party claims, damages, losses, liabilities, and reasonable costs arising from your applications, users, Inputs, downstream use or redistribution of output, violation of these Terms or law, or infringement or misuse of another party’s rights.

17. Export controls and sanctions

You may not use or export the Services in violation of applicable U.S. export-control or sanctions laws. You represent that you are not prohibited from receiving the Services under those laws.

18. Governing law and venue

Washington law governs these Terms, without regard to conflict-of-law rules. Any dispute not governed by a separately signed agreement must be brought in the state or federal courts with jurisdiction in King County, Washington, and each party consents to their jurisdiction and venue.

19. General terms

These Terms, incorporated policies, and any applicable signed agreement are the entire agreement concerning the Services. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, reorganization, sale of assets, or operation of law.

20. Changes to these Terms

We may update these Terms. We will post the revised version and update the effective date. If a material change affects registered users, we will provide reasonable notice through the Service or available account contact information where required.
